Terms & Conditions for Conversational Agents Service
These Terms and Conditions govern the use of the Text and Voice Conversational Agent services provided by ARTIFICIAL INTELLIGENCE CHILE, LLC (AI CHILE, LLC), a company registered in the State of Delaware, United States. By subscribing to or using our Text and Voice Conversational Agent services, you (hereinafter, "THE CLIENT") fully accept these terms. We reserve the right to modify these terms at any time without prior notice. Continued use of the services after any modification implies acceptance of the changes.
Subscription to our services constitutes a contract between the company and the user, in which AI CHILE LLC commits to developing, maintaining, and providing access to custom-designed conversational agents for your business, while the user agrees to the monthly payments corresponding to the contracted plan.
The following Terms and Conditions include the service terms for the following services of AI CHILE, LLC.
Text Conversational Agents (Chatbots)
Voice Conversational Agents (Voicebots)
AI CHILE LLC. offers a subscription service that includes the design, development, training, deployment, and maintenance of custom text conversational agents for THE CLIENT. The service is managed directly by AI CHILE LLC. on cloud infrastructure (AWS or others) and using proprietary or third-party language models.
The solution is delivered "as a service" (SaaS), and THE CLIENT accesses its use without acquiring ownership of the models, infrastructure, software, or associated tools, except for the data and integrations specific to their business.
The service operates under a recurring monthly payment model, by subscription.
The value of the subscribed plan will be charged monthly in advance in U.S. dollars (USD).
Published prices do not include state or federal taxes, which will be added as required by U.S. tax law (including sales tax if applicable).
Payment may be made via credit card, debit card, or electronic platforms such as Stripe, PayPal, or similar.
The subscription is automatically renewed each month unless THE CLIENT cancels it before the next billing cycle.
AI CHILE, LLC reserves the right to modify, suspend, or cancel the service in whole or in part at any time and without cause, including the removal of the Conversational Agent, termination of access, or cancellation of the account.
Likewise, THE CLIENT may cancel the subscription at any time by notifying through official channels. The cancellation will be effective at the end of the already paid period.
AI CHILE, LLC is not obligated to refund payments already made.
These Terms may be updated by AI CHILE, LLC at any time without prior notice.
The new version will take effect upon its publication on the website.
Continued use of the service by THE CLIENT after a change will be understood as express acceptance of the new Terms.
All data that THE CLIENT provides, generates, or manages through the conversational agent will be their exclusive property.
AI CHILE, LLC will not use this data for its own purposes or share it with third parties without consent, except for legal obligations.
THE CLIENT is responsible for having the necessary permissions to process any personal data of third parties in their use of the service.
AI CHILE, LLC will maintain strict confidentiality regarding all client information, including technical, operational, financial, or strategic data.
It commits to:
Protecting the data with reasonable technical and organizational security measures.
Not disclosing or using confidential information except to provide the service.
Destroying or delivering the information at the end of the contract, as requested by the client.
AI CHILE, LLC operates on secure servers with encrypted data in transit and at rest. However, THE CLIENT is responsible for maintaining their own backups.
AI CHILE, LLC declares compliance with:
The California Consumer Privacy Act (CCPA).
Delaware state regulations on privacy and data use.
The European Union General Data Protection Regulation (GDPR), to the extent it applies by jurisdiction or by service use in European territory.
Personal data entered into the system (by THE CLIENT or its users) is processed exclusively to provide the service and under confidentiality. AI CHILE, LLC acts as a "data processor" and THE CLIENT as a "data controller".
In case of payment delay:
AI CHILE, LLC may temporarily suspend the service without liability or compensation.
If the delay extends for more than 10 calendar days, AI CHILE, LLC may permanently delete the agent and terminate the contractual relationship.
AI CHILE, LLC may initiate extrajudicial or judicial collection actions and report the debt to commercial information services if applicable.
AI CHILE, LLC does not guarantee that the service will be uninterrupted or error-free.
It will not be liable for: Indirect damages or loss of profits.
Interruptions caused by force majeure, network issues, third-party service failures, cyberattacks, or software errors.
Decisions or results obtained by THE CLIENT from the use of the Conversational Agent.
The total liability of AI CHILE, LLC is limited to the amount paid in the month prior to the incident.
State of Delaware and the United States of America.
Any dispute will be submitted to confidential arbitration in the State of Delaware, in accordance with the rules of the American Arbitration Association (AAA).
The parties waive any other jurisdiction that may apply.

AI CHILE LLC offers a pay-per-use service that includes the design, development, training, deployment, and maintenance of custom voice conversational agents for THE CLIENT. The service is managed directly by AI CHILE LLC on cloud infrastructure (AWS or others) and using proprietary or third-party language models.
The solution is delivered "as a service" (SaaS), and THE CLIENT accesses its use without acquiring ownership of the models, infrastructure, software, or associated tools, except for the data and integrations specific to their business.
This service is subject to the same general framework of terms as the Text Conversational Agent service, including data ownership, confidentiality, data protection, duration, dispute resolution, and limitation of liability.
